Submission Agreement
BEFORE RECOMMENDING A TECHNOLOGY OR SUBMITTING ANY OTHER IDEAS, SUGGESTIONS, CONTENT, PLANS, MATERIALS OR OTHER INFORMATION (THE INFORMATION) TO THIS WEB SITE (THE "SITE"), YOU MUST READ AND AGREE TO THE TERMS OF THIS SUBMISSION AGREEMENT ("AGREEMENT"). YOU MUST BE AT LEAST 18 YEARS OLD TO SUBMIT ANY INFORMATION TO THE SITE. PLEASE READ THIS AGREEMENT CAREFULLY. By submitting any Information to this Site, you hereby agree as follows:
1. You acknowledge and agree that any Information you submit is non-confidential and may be freely used and disclosed by Enterpreneurs for Obama ("Entrepreneurs") and by Obama for America (the "Campaign") in any manner in their sole discretion, without acknowledgment or compensation to you. You hereby grant the campaign a perpetual, irrevocable, sublicensable, royalty-free right and license to publish, reproduce, distribute, display, perform, adapt, create derivative works of and otherwise use and exploit the Information in any manner. However, you acknowledge that the Campaign shall have no obligation to publish, review or use any Information you submit in any manner.
2. You represent and warrant that you are 18 years of age or older, that you are the sole owner of all right, title and interest in and to the Information, and that no interest in the Information is owned or controlled by your employer or any other corporation or entity. You further represent and warrant that you have the unconditional right to submit the Information to the Site and to grant the rights granted hereunder, and that the Information and the use and disclosure thereof as contemplated herein does not and shall not violate or infringe upon any law or regulation or the rights of any third party, including without limitation any intellectual property rights.
3. You hereby agree to defend, indemnify, and hold harmless the Campaign, and its subsidiaries, affiliates, successors and assigns, from and against any and all claims, demands expenses, losses or liabilities including, without limitation, reasonable attorney's fees and punitive damages, arising out of or in connection with the Information, or any use thereof, including without limitation those arising from any breach, or alleged breach, of the warranties, representations and promises provided by you in this Agreement. This Agreement embodies the parties' entire agreement and supersedes any prior agreement, express or implied, written or oral, with respect to the Information.
